JRG Industries Terms and Conditions

By submitting a Purchase Order, accepting a quotation, remitting payment, or otherwise authorizing JRG Industries to proceed with anywork, services, equipment, or materials, Customer agrees to be bound by these Terms and Conditions. These Terms and Conditions govern all quotations, sales, deliveries, and installations provided by JRG Industries unless otherwise expressly agreed in a separate written agreement signed by an authorized representative of JRG Industries:

1. Acceptance of Terms

These Terms and Conditions shall govern all transactions between JRG Industries and Customer. Any additional, inconsistent, or conflicting terms contained in any Purchase Order, subcontract, vendor form, acknowledgment, customer terms and conditions, or other document issued by Customer are hereby rejected and shall be of no force or effect unless expressly accepted in a separate written agreement signed by an authorized representative of JRG Industries.

Submission of a Purchase Order, payment of any invoice or deposit, acceptance of any quotation, or authorization for JRG Industries to proceed shall constitute Customer’s acceptance of these Terms and Conditions.

2. Equipment Inspection and Acceptance

Customer shall inspect all equipment, materials, and components immediately upon delivery. Any claims for shortages, visible damage, missing components, or non-conforming goods must be submitted to JRG Industries in writing within fourteen (14) calendar days of delivery.

Failure to provide written notice within such fourteen (14) day period shall constitute Customer’s full and final acceptance of the equipment as delivered, subject only to any applicable manufacturer warranty. Customer is responsible for verifying that all delivered equipment conforms to the quotation, approval drawings, and related order documentation.

3. Pricing, Freight, Taxes, and Quote Accuracy

Unless expressly stated otherwise in writing, all quoted prices are exclusive of freight, shipping, unloading, rigging, storage, taxes, duties, permits, and any other applicable charges. Any sales tax, use tax, excise tax, or similar governmental charge shall be the sole responsibility of Customer.

JRG Industries reserves the right to reject any Purchase Order containing inaccurate pricing, expired quotations, unauthorized revisions, incorrect scope, or terms inconsistent with JRG Industries’ quotation. Any quotation issued by JRG Industries is based solely upon the scope, specifications, and assumptions stated therein. All quotations, pricing, and proposal materials are confidential and remain the exclusive property of JRG Industries.

Such materials may not be copied, disclosed, or shared with third parties without prior written consent from JRG Industries.

4. Intellectual Property and Proprietary Materials

All drawings, approval drawings, engineering concepts, calculations, layouts, renderings, animations, designs, and related materials prepared or furnished by JRG Industries shall remain the sole and exclusive property of JRG Industries.

Customer shall have no ownership interest insuch materials unless expressly stated otherwise in writing. Customer may not reproduce, distribute, disclose, transmit, or permit third-party use of any such materials without prior written approval from JRG Industries.

5. Quotation Validity

Unless otherwise stated in writing, all quotations issued by JRG Industries shall remain valid for thirty (30) daysfrom the date of issue. Upon expiration of that period, pricing, lead times, availability, and scope are subject to revision without notice.

6. Insurance and Contract Requirements

Any customer, owner, or contractor-specific insurance requirements, contractual flow-down provisions, site agreements, indemnity language, or compliance obligations must be disclosed to and accepted by JRG Industries in writing prior to acceptance of the Purchase Order.

JRG Industries shall not be bound by any insurance, indemnity, safety, administrative, legal, or contractual requirements not expressly approved in writing by an authorized representative of JRG Industries before order acceptance.

Where applicable, JRG Industries will maintain commercially reasonable insurance coverage consistent with industry standards, including liability coverage with limits up to $2,000,000, unless otherwise agreed in writing.

7. Site Conditions and Installation Readiness

Where installation services are included, Customer shall ensure that the project site is safe, accessible, and fully prepared for installation on the scheduled date. Customer shall provide adequate staging areas, clear access to the work area, sufficient workingspace, and reasonably accessible parking for installation personnel and equipment.

Customer shall be responsible for all site preparation and jobsite conditions not expressly included in JRG Industries’ quotation, including but not limited to final electrical connections, concrete or foundation work, structural support verification, permits, house keeping, obstruction removal, and coordination with third parties.

Any onboarding, badging, safety orientation,plant training, union coordination, or other site-specific administrative requirements must be disclosed to and approved by JRG Industries prior to acceptance of the Purchase Order. Any labor, delay, or cost resulting from undisclosed site requirements may be billed as an additional charge.

For crane installations, all crane components, hardware, and related materials must be clearly laid out, organized, and staged by Customer prior to the commencement of installation. If the crane components are not properly laid out, readily accessible, or reasonably organized for efficient installation, JRG Industries reserves the right to assess additional installation charges, including additional labor, travel, delay time, equipment costs, and rescheduling charges.

Any delays, disruptions, lost productivity, standby time, or return trips caused by Customer, Customer’s contractors, siteconditions, or third parties shall be billed to Customer at JRG Industries’ then-current rates.

8. Safety and Environmental Conditions

JRG Industries reserves the right to refuse,suspend, or discontinue work where site conditions are determined, in JRG Industries’ sole judgment, to be unsafe, hazardous, or not reasonably suitablefor the performance of the work.

In such event, Customer shall remain responsible for all costs incurred up to the time of suspension or discontinuation, including but not limited to labor, mobilization, demobilization, travel, lodging, equipment rental, and related expenses.

Any personal protective equipment requirements, medical screenings, certifications, or site protocols exceedingnormal OSHA requirements must be disclosed and approved by JRG Industries inadvance. Any additional compliance-related costs may be charged to Customer.

9. Payment Terms

Unless otherwise stated in writing, orders with a total value under $10,000.00 shall be invoiced on a Net 30 basis, with payment due within thirty (30) days of invoice date, delivery, or installation, as determined by JRG Industries.

Orders exceeding $10,000.00 require a fifty percent (50%) down payment before release into production, procurement, orscheduling. The remaining balance shall be due on a Net 30 basis following invoice, delivery, or installation, as determined by JRG Industries.

JRG Industries reserves the right to suspend work, delay shipment, withhold delivery, or postpone installation if anyrequired payment is not received when due.

10. Custom Manipulators and Cancellation Charges

All custom manipulators are built to Customer-specific requirements and require a nonrefundable fifty percent (50%) down payment before engineering, procurement, or production will begin.

In the event Customer cancels a custom manipulator order after acceptance by JRG Industries but before delivery, Customer shall remain liable for the full fifty percent (50%) down payment, together with any additional engineering costs, material costs, production costs, supplier cancellation fees, work in process costs, restocking fees, orother expenses incurred by JRG Industries as of the date of cancellation.

Because custom manipulators are manufactured to project-specific specifications, canceled custom manipulator orders shall not be subject to return, refund, or credit unless expressly agreed to inwriting by JRG Industries.

11. Approval Drawings, Engineering, and Lead Times

Approval drawings for standard equipment may require up to one (1) week to complete. Approval drawings for custom equipmentmay require up to two (2) weeks or longer depending on project complexity, scope, and supplier coordination.

Where approval drawings are required, Customer shall timely review and return approved drawings. Quoted lead times for custom equipment shall not begin until JRG Industries has received both signed approval drawings and any required down payment.

Any customer-requested revisions following drawing preparation or approval may result in additional engineering charges, production delays, revised pricing, and extended lead times.

12. Delivery and Scheduling

Any quoted shipment dates, delivery dates, and installation dates are estimates only and are subject to change based onsupplier availability, manufacturing schedules, freight carrier performance, labor availability, weather conditions, material shortages, site readiness, and other causes beyond JRG Industries’ reasonable control.

JRG Industries shall not be liable for any direct, indirect, incidental, consequential, or delay-related damages arising out of estimated or revised delivery or installation dates.

13. Warranties

Unless expressly stated otherwise in writing, all warranties are provided solely by the applicable Original Equipment Manufacturer (OEM). JRG Industries makes no separate warranty and expressly disclaimsany implied warranties, including any implied warranty of merchantability orfitness for a particular purpose.

JRG Industries’ involvement in any warranty matter shall be limited to commercially reasonable assistance in communicating with the applicable manufacturer. JRG Industries shall not be responsible forany manufacturer denial, limitation, or delay in warranty coverage.

14. Changes, Delays, and Order Modifications

No order may be changed, delayed, suspended, revised, or canceled except upon terms approved by JRG Industries in writing.

Any customer-requested changes to the scope of work, equipment design, installation schedule, delivery timing, or project requirements may result in revised pricing, additional charges, and extended lead times.

Customer shall be responsible for all costs and damages incurred by JRG Industries arising from customer-driven delays, changes, suspensions, or rescheduling.

15. Limitation of Liability

To the fullest extent permitted by law, JRG Industries shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of production, downtime, loss of use, liquidated damages, orbusiness interruption, arising out of or relating to any quotation, sale, delivery, installation, or services.

JRG Industries’ total aggregate liability arising from any claim related to the equipment or services provided shall not exceed the amount actually paid to JRG Industries for the specific equipment or services giving rise to such claim.

16. Governing Order of Precedence

In the event of any conflict between these Terms and Conditions and any Customer-issued Purchase Order, subcontract, workorder, vendor packet, or other document, these Terms and Conditions shallcontrol unless JRG Industries expressly agrees otherwise in a separate written agreement signed by an authorized representative of JRG Industries. No course of dealing, prior correspondence, or failure to object to any Customer document shall be deemed an acceptance ofCustomer’s terms and conditions.

17. Entire Agreement

These Terms and Conditions, together with the applicable quotation and any written agreement signed by JRG Industries, constitute the entire agreement between the parties with respect to the subject matter of the transaction and supersede any prior discussions, representations, or understandings relating thereto.

18. Acknowledgment

By submitting a Purchase Order, accepting aquotation, remitting payment, or authorizing JRG Industries to proceed, Customer acknowledges that it has read, understood, and agreed to these Termsand Conditions.
